    REFERRAL PARTNER PROGRAM TERMS & CONDITIONS

    By applying to become a Primal Kitchen Referral Partner (also known as an affiliate), you agree to be bound by the following terms of the program.


    REGISTRATION

    To become a Primal Kitchen Referral Partner, you must submit a complete program application via our referral partner sign-up form.

    Upon submission of your application, you will be able to log in to the affiliate portal and receive your unique affiliate links and custom affiliate code, and start promoting Primal Kitchen products. To learn more about our Primal Health Coach program and referral partner program, click here.

    We may reject your application if we decide (at our sole discretion) that your site is unsuitable for the program. All information submitted must be truthful and accurate. Failure to provide accurate information may result in immediate termination of affiliate’s participation in the program.

    By registering for the Primal Kitchen Referral Partner program, you agree to receive a monthly email from us related to the program. We will not share or resell your information, and our Privacy Policy applies.


    COMMISSION RATES

    Our affiliate program provides you with a 10% commission on referred sales, not including the value of shipping and handling or taxes.


    LIFETIME COMMISSIONS

    We offer lifetime commissions within our affiliate program. However, there are technical limitations and performance requirements.

    From the moment a customer visits our site via your affiliate URL, a cookie is placed on their computer. This allows us to track the customer even if they don’t immediately make a purchase. They can close their browser and return later to complete the order, and you will still be recognized as the referring affiliate. Our cookies are set with a 45-day duration.

    The customer may choose to clear their cookies at any time. This is out of our control. Clearing cookies will remove any tracking, and purchases will no longer be tracked to your affiliate account. The same applies if they use a different web browser or device than originally used to access your referral link.

    Once a purchase is made, that customer is linked to your affiliate account. As long as you are the most recent referrer, all future purchases by that customer account will be automatically tied to your affiliate account and will generate the relevant commissions. Once this connection is made, there is no further reliance on cookies.

    We use “last click” tracking. This means that if a customer was referred by another affiliate weeks, months or even years ago, but then clicks on your link and makes a new purchase, you will get receive commissions for this new order instead of the original referrer, and will receive lifetime commissions on that customer’s future purchases for as long as that customer isn't referred by some other affiliate. "Last click" tracking is the most common type of tracking, and rewards the most recent marketing and promotional efforts.

    Referral Partners that do not meet minimum performance requirements may lose lifetime commissions status. Ten (10) new referred customers per year are required to maintain lifetime commission status. If 10 new customers are not referred by any given affiliate within a single year lifetime commissions will be revoked, and all recurring commissions previously earned under the referral partner program will cease.


    GENERATING REFERALS

    In order to be awarded commission for a purchase, you must utilize your unique referral URL, provided within your affiliate dashboard. Upon registration for the affiliate program, you will also have the opportunity to set up an optional coupon code. This coupon code will be unique to your business and do two things 1.) track referred sales back to you and 2.) discount your customer orders by 10% should you want to offer your community a discount.

    You are permitted to use link cloaking, link tracking or other forms of redirection. However, be aware that some ad networks or social networks do not allow such links to be used.


    RECURRING PRODUCTS (SUBSCRIPTIONS PRODUCTS)

    Where customers choose to purchase a recurring product (e.g. monthly deliveries of products) you will receive commission on all recurring orders as long as you are the last referring affiliate.

    Commission is earned at the time of renewal.

    If the customer cancels their ongoing recurring order, commissions will also cease.


    CUSTOM CODE

    To help our affiliate program be part of your successful business, we’re offering a chance to setup a custom code. This custom code can perform two functions:

    1.) Track your affiliate referred sales to be used on your website, email and social media sites

    2.) Provide a 10% discount on orders placed on primalkitchen.com. This coupon code must be requested upon enrollment.


    REFUNDS

    In the event that a customer requests a refund (and we honor that request) – we reserve the right to deduct any commission already paid out on that sale from future commissions.


    COMMISSION PAYOUTS - PLEASE READ CAREFULLY

    Payments will be once a quarter. You can expect payment approximately 30 days after the quarter is over. Payments are made at the end of January, April, July, and October.

    This provides adequate time for us to account for clawbacks (i.e. revoking commissions earned on orders that have been refunded).

    One must meet a minimum commission threshold of $100 in a given period in order to receive payment for that period. If you do not reach $100 in commissions in a given period it will just keep rolling over until you do reach at least $100.

    We issue payments via PayPal. We are unable to provide commission payouts via check.

    We cannot be responsible for any banking fees you may incur by receiving a payment from us.


    PROMOTION

    You may use your unique URL within email marketing, online advertising, blogging, social media marketing, video marketing, and other forms of online marketing. Paid search and social advertising (Google Adwords, Facebook, etc.) on brand terms, trademarked terms, and product names are prohibited. This includes but is not limited to the following keywords and phrases:

    Primal Blueprint, Primal Kitchen, Primal Health Coach. Primal Sun, Primal Fuel, Primal Flora, Primal Calm, Primal Omegas, Primal Probiotics, Damage Control Master Formula, Primal Kitchen Mayo, Primal Kitchen Avocado Oil, Primal Kitchen Dressings, Primal Kitchen Collagen Protein Bars, Primal Kitchen Collagen Fuel™

    You must not use the Primal Kitchen or other brand names owned by Primal Kitchen within your domain name. For example, you may not register a domain name such as http://primalkitchencondiments.com

    Such use of our brand name may cause confusion with customers.


    MISREPRESENTATION

    You must not in any way, attempt to mislead the customer into believing you are the manufacturer or direct supplier of the products. You must not make any factual claims about the product’s composition, the benefits of using the product, or other significant claims that would influence a purchasing decision, other than those substantiated on our websites: primalkitchen.com and primalblueprint.com.

    If your marketing material suggests you are an impartial party, you should include a caveat that explains you are being financially compensated for promoting this product.

    You must not represent the product in a negative way, nor make any connections between the product and another organization.


    BREAKING THESE TERMS

    It is against these terms for you to purchase products for yourself through your own affiliate account. It is also against these terms to attempt to circumvent or alter any of the technical methods employed by our affiliate program.

    You must act within the terms of any associated platform being used in your marketing activity. (e.g. Facebook, Google, etc).

    Any email marketing activity must be conducted in accordance with the CAN-SPAM regulations and/or any local territory guidelines.

    Sites that promote violence; promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; promote illegal activities; attempt to copy and/or assume the creative or business identity of Primal Kitchen in any manner; and/or contain any other content that we deem offensive and/or not in alignment with the Primal Kitchen brand, are unsuitable for our referral partner program, and if used may be grounds for termination of the referral partner relationship.

    If we detect that these terms have been breached for any reason, we reserve the right to deny registration, cancel your affiliate account and void any unpaid commissions.


    CANCELING ACCOUNTS

    We reserve the right to suspend or delete an affiliate account at our discretion.

    Any affiliate accounts that have not made any referrals within a 60-day period and have no outstanding commission to be paid, may be designated as dormant. We reserve the right to delete accounts that have been found to be dormant.

    CHANGES TO TERMS & CONDITIONS

    We reserve the right to change the terms and conditions of our affiliate program at any time. In the event changes are made to the terms and conditions, affiliates will be notified. If they disagree with the new terms they can cease the affiliate relationship. Continuing to operate as an affiliate under new terms after being notified of the new terms is considered an acceptance of the new terms. If changes to the lifetime commissions terms and conditions are ever made, existing affiliates will continue to receive lifetime commissions based on the original terms and conditions for a period of 1 year.

    We may use your Identity, Contact, Technical, Usage and Profile Data to form a view on what we think you may want or need, or what may be of interest to you. This is how we decide which products, services and offers may be relevant for you (we call this marketing).

    5. SHARING YOUR DATA WITH THIRD PARTIES

    We may share your data with third parties, including other companies within Primal Nutrition and with third-party service providers who provide services to us as further explained below.

    Where we provide Personal Data to contractors and suppliers who provide services to us, including assistance with the processing activities set out in this notice, we will enter into a data processing agreement (which complies with applicable law, including provisions required by GDPR) with those contractors and suppliers.

    In order to fulfill our legal and other obligations and in connection with our rights including protection of our legitimate interest, we reserve the right to disclose Personal Data (or Special Category Data as appropriate) to law enforcement agencies, regulatory bodies, government agencies and other third parties as required by law or for administrative purposes (for example, the Internal Revenue Service in the United States or HM Revenue and Customs in the UK) and to the extent that local law allows and/or requires this.

    We share information that we collect from you, such as your email (in hashed form), IP address or information about your browser or operating system, with our identity partners/service providers, including LiveRamp Inc. LiveRamp returns an online identification code that we may store in our first-party cookie for our use in online, in-app, and cross-channel advertising and it may be shared with advertising companies to enable interest-based and targeted advertising.     In addition, we may share your email address with our service providers, such as media agencies, to send you interest-based advertising on our behalf. We may also share aggregated or de-identified information about you with our advertising and marketing partners, and third-party media platforms, including social media sites, to allow them to send targeted advertising messages and/or conduct analyses on our behalf.     We may conduct joint promotions with other companies. We may provide to our promotional partners (and their service providers) certain personal information as necessary to conduct the promotion. We will not share this information with our promotional partners for any other purpose unless you consent to such sharing.

    During the normal course of our business, Primal Nutrition or its parent company may sell or purchase assets. If another entity acquires us or any of our assets, information we have collected about you may be transferred to such entity. In addition, if any bankruptcy or reorganization proceeding is brought by or against us, such information may be considered an asset of ours and may be sold or transferred to third parties. Should a sale or transfer occur, we will use reasonable efforts to try to require that the transferee use personal information provided through the Site in a manner that is consistent with this Privacy Notice.

    Note for Non-US Residents: Primal Nutrition is located in the United States and it processes your Personal Data in the United States. We may share your Personal Data with Primal Nutrition’s affiliates and parent companies, partners, suppliers, law enforcement agencies and to other organizations that are also located in the United States or in other countries outside the EU for the purposes of establishing and performing your contract with us, fulfilling legal obligations, and where necessary to fulfill our legitimate interests described above, where our interests are not overridden by your data protection rights. The laws of some jurisdictions outside your country of residence may not be as protective as Data Protection Laws in your country.  Primal Nutrition will ensure that, for such jurisdictions, appropriate measures are in place for compliance with Data Protection Law in relation to the processing of Personal Data in those jurisdictions.

    Public Forums

    Any information you may disclose on our Site, in blogs, on message boards, in chat rooms, or on other public areas on the Site or other third-party websites that this Site may link to, becomes public information. Please exercise caution when disclosing personal information in these public areas. Primal Nutrition cannot control the actions of third parties who may view the Site and use publicly-available information for their own purposes.

    Your Choices

    You can change your preferences for follow-up contacts by Primal Nutrition, including by limiting how third parties use your email address to send you targeted advertising through social media on our behalf.  Please email or call us using the information in the “Contact Us” section below if you wish to change your preferences.  Where you wish to unsubscribe from emails or have use of your email address restricted, please allow 10 days for your email to be removed from our marketing database.

    6. DATA SECURITY AND RETENTION

    The security of your information is important to us. We have taken certain administrative, technical, and physical steps to safeguard the information we collect from and about our customers and Site visitors against unauthorized use, disclosure, alteration, or destruction. While we make every effort to help ensure the integrity and security of our network and systems, we cannot guarantee our security measures.

    We have legal duties to keep various records and records need to be held for different periods of time, depending on their contents.  We will therefore keep Personal Data for as long as we reasonably consider we may need to in connection with those obligations.  Where we do not have keep Personal Data for a period specified by law we will not keep Personal Data for longer than applicable law allows us to.

    7. YOUR LEGAL RIGHTS 

    If you are a resident of Europe, under the General Data Protection Regulation and other applicable data protection laws, you are entitled to ask Primal Nutrition for a copy of your Personal Data and to ask for it to be corrected, edited or have its processing restricted. In certain situations, you may also be entitled to ask Primal Nutrition to delete your Personal Data or transfer some of your Personal Data to other organizations.

    You may also have rights to object to some processing of your Personal Data although Primal Nutrition may continue that processing if it is required in connection with legal obligations.

    Your Personal Data rights may be limited or subject to exceptions in some situations; for example, where Primal Nutrition demonstrates that it has a legal requirement to process your data, such as where tax authorities require us to retain it or where it is needed for proper performance of a contract.

    Where Primal Nutrition has asked for your consent to process Personal Data and that consent is withdrawn we will not process that Personal Data further but may not be able to continue providing the goods or services for which the Personal Data was sought.

    Where Primal Nutrition has a legal right or obligation to retain Personal Data or wishes to do so in connection with its legitimate interests, it may do so even if you have withdrawn consent for Primal Nutrition to hold your Personal Data.

    Where Primal Nutrition requires Personal Data to comply with legal or contractual obligations, the provision of such data is mandatory.  If such data is not provided Primal Nutrition will not be able to manage the employment or engagement relationship, or to meet legal obligations placed on us.
